Interpretation and Definitions

Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Definitions

For the purposes of these Terms of Service:

• Account means a unique account created for You to access our Service or parts of our Service.
• Affiliate means an entity that controls, is controlled by or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.

• Website refers to Cortal, accessible from the domain where this service is hosted
• You refers to the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

Acceptance of Terms

By accessing and using the Service, You accept and agree to be bound by the terms and provision of this agreement. If You do not agree to abide by the above, please do not use this service.

Description of Service

Cortal is an AI-powered skill assessment and learning platform that provides:

• Personalized skill assessments using artificial intelligence
• Learning roadmaps and progress tracking
• AI tutoring and educational content
• Skill mastery analytics and recommendations

User Accounts and Registration

Account Creation

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process.

Account Security

You are responsible for safeguarding the password and for maintaining the confidentiality of your account. You agree to notify us immediately of any unauthorized use of your account.

Account Termination

We reserve the right to terminate or suspend your account at any time for violations of these Terms or for any other reason at our sole discretion.

Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit any harmful, threatening, abusive, or defamatory content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers
• Use the Service for any commercial purpose without our written consent
• Share your account credentials with others
• Reverse engineer or attempt to extract source code from our AI models

Intellectual Property Rights

Our Content

The Service and its original content, features, and functionality are and will remain the exclusive property of Echo Inc. and its licensors. The Service is protected by copyright, trademark, and other laws.

User Content

You retain ownership of any content you submit to the Service. However, by submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and distribute such content in connection with the Service.

AI Training Data

Your interactions with our AI systems may be used to improve our models and services, subject to our Privacy Policy. We do not claim ownership of your personal learning data.

Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Payment Terms (When Applicable)

Subscription Fees

Certain features of the Service may require payment of fees. All fees are non-refundable unless otherwise stated.

Billing

For subscription services, you will be billed in advance on a recurring basis. You authorize us to charge your payment method for all fees.

Price Changes

We reserve the right to modify our pricing with 30 days' notice to existing subscribers.

Our AI models are continuously updated and improved. This may result in changes to assessments and recommendations over time.

Disclaimers and Limitation of Liability

Service Availability

We do not guarantee that the Service will be available at all times. We may experience hardware, software, or other problems that could lead to interruptions, delays, or errors.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

IN NO EVENT SHALL ECHO INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Governing Law and Jurisdiction

These Terms shall be interpreted and governed by the laws of British Columbia, Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of Vancouver, British Columbia.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

Entire Agreement

These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have between us regarding the Service.
